These Terms and Conditions ("Agreement") govern your access to and use of Ferrago's website, products, and services. By engaging with Ferrago, purchasing any product, or booking a discovery call, you agree to be bound by this Agreement.
Ferrago operates in Dubai, United Arab Emirates, and all services are governed by UAE law.

1. ABOUT FERRAGO

Ferrago is an AI-powered business growth and automation agency providing done-for-you lead generation systems, CRM automation, email marketing, appointment booking systems, nurture sequences, and related digital services to businesses across industries.

2. SERVICES
───────────────────────────────
2.1 Scope
Ferrago provides business automation and growth services including but not limited to:
• Lead generation system setup and management
• CRM configuration and pipeline management via GoHighLevel
• Email and WhatsApp marketing automation
• Appointment booking and confirmation systems
• Reporting and analytics
• Digital products including ebooks, workbooks, audio content, and templates
2.2 Platform Access
Clients may be granted access to a GoHighLevel-powered portal at my.ferrago.ai. Access is non-transferable and must not be shared with unauthorised third parties.
2.3 Service Agreements
Agency services are provided under a separate Service Agreement issued prior to commencement of work. These Terms apply in addition to any Service Agreement.

3. DIGITAL PRODUCTS
───────────────────────────────
3.1 All digital products are delivered electronically via email or download link upon confirmed payment.
3.2 Due to the instant-access nature of digital products, all sales are final. No refunds are issued once access has been granted.
3.3 Digital products are licensed for personal or internal business use only. You may not resell, redistribute, or reproduce our content without written permission from Ferrago.

4. PAYMENT TERMS

4.1 All fees are as agreed in the relevant service proposal, invoice, or product checkout page.
4.2 Fees are quoted in USD or AED as specified. Where currency conversion applies, the prevailing rate at time of invoice is used.
4.3 Payment for digital products is processed at time of purchase via our secure payment providers.
4.4 Agency service fees are invoiced as per the relevant Service Agreement.
4.5 Late payments on agency services may result in suspension of services. Ferrago reserves the right to charge a late fee of 2% per month on overdue balances.

5. DISCOVERY CALLS

5.1 Discovery calls are offered free of charge and carry no obligation to purchase.
5.2 We reserve the right to cancel or reschedule discovery calls with reasonable notice.
5.3 Repeated no-shows without notice may result in restricted access to future bookings.

6. CLIENT OBLIGATIONS

The client agrees to:
• Provide accurate and complete business information
• Respond to communications in a timely manner
• Comply with all applicable laws and regulations
• Not use the platform for any unlawful or deceptive purposes
• Keep login credentials confidential and secure

7. INTELLECTUAL PROPERTY

7.1 All content on ferrago.ai — including text, graphics, logos, automation workflows, system configurations, and digital products — is the property of Ferrago and protected by applicable intellectual property laws.
7.2 Client-provided materials (logos, images, content) remain the property of the client.
7.3 Nothing on this site grants you any licence to use our intellectual property without written permission.

8. CONFIDENTIALITY

Both parties agree to keep confidential any proprietary information, strategies, client data, and business processes shared during the engagement. This obligation survives termination of the Agreement.

9. TERM AND TERMINATION

9.1 Agency service agreements operate on a monthly basis unless a fixed term is agreed in writing.
9.2 Either party may terminate with 30 days written notice.
9.3 Ferrago may terminate immediately for non-payment or material breach of these Terms.
9.4 Upon termination, platform access will be revoked and outstanding fees remain payable.

10. DISCLAIMER OF WARRANTIES

Our website and services are provided on an "as is" basis. We make no warranties regarding guaranteed results. Business outcomes depend on your industry, market conditions, and your own actions. Results will vary.

11. LIMITATION OF LIABILITY
───────────────────────────────
To the maximum extent permitted by UAE law, Ferrago's total liability for any claims shall not exceed the total fees paid by the client in the preceding 3 months. Ferrago is not liable for indirect, incidental, or consequential damages including lost profits or missed business opportunities.

12. INDEMNIFICATION

The client agrees to indemnify and hold harmless Ferrago from any claims, losses, or damages arising from the client's use of our services, violation of these Terms, or breach of applicable law.

13. GOVERNING LAW AND DISPUTE RESOLUTION
───────────────────────────────
This Agreement is governed by the laws of the United Arab Emirates. Disputes shall first be attempted to be resolved amicably within 30 days. Unresolved disputes shall be referred to the courts of Dubai, UAE.

14. AMENDMENTS

Ferrago reserves the right to amend these Terms at any time. Material changes will be communicated with 14 days notice. Continued use of our services constitutes acceptance of the updated Terms.
